Welcome to S.B & Associates. These Terms & Conditions (“Terms”) govern the use of our professional services including taxation, accounting, audit, consultancy, and related services. By engaging with our firm, you agree to the following terms:

Scope of Services

We provide services such as:

• GST Registration and Return Filing
• Accounting & Bookkeeping
• Company/LLP Registration
• Audit & Assurance
• Financial Advisory and Planning

Services will be clearly defined in a formal engagement letter or written communication and delivered on mutually agreed terms.

Client Responsibilities

You agree to:

• Provide accurate, complete, and timely information/documents as required
• Cooperate during audits, assessments, or compliance checks
• Ensure legality and validity of documents shared
• Review final filings/reports before submission

We are not responsible for errors or delays caused due to incorrect or delayed client inputs.

Confidentiality

We maintain strict confidentiality of your data and documents in accordance with professional ethics and the law. Your information will never be shared without your consent, except when required by law or regulatory bodies.

Fees & Payment

• All service fees will be discussed and agreed upon in advance
• Payments must be made within the due date mentioned on the invoice
• Delayed payments may attract interest or service suspension
• GST is applicable as per prevailing laws

Limitation of Liability

We shall not be liable for:

• Losses arising from misinformation or omission by the client
• Penalties imposed due to delays in submission caused by the client
• Any indirect or consequential losses

Our total liability, if any, is limited to the amount of fees paid by the client for the specific service.

Termination

Either party may terminate the engagement with a written notice. Any pending dues or outstanding documents must be cleared prior to termination.

Intellectual Property

All reports, templates, documents, or tools provided are the intellectual property of S.B & Associates and are not to be copied or redistributed without written permission.

Governing Law

These terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Kolkata, West Bengal.

Amendments

We may modify these terms from time to time. The updated version will be made available on our website or notified to clients directly.
